1. GRANT OF LICENSE:

We provide true open source of Waypoint™ software based on GPL license principle. You can download Waypoint™ object code and source code freely in our website.

2. UPGRADES TO THE SOFTWARE:

Upgrades of  the SOFTWARE can be available in our website freely and also follow the GPL license principle.

3. COPYRIGHT:

Follow GPL license principle.

4. MULTIPLE-MEDIA:

You may receive the SOFTWARE in more than one media. Regardless of the type of media that you receive, this case also follow the GPL license principle.

5. WARRANTY :

GATIF does not warrant that the SOFTWARE that you download or obtain in media freely will perform substantially in accordance with the accompanying materials. to the maximum extent permitted by applicable law, GATIF disclaims all other warranties, either express or implied, including the implied warranties of merchantability and fitness for a particular purpose, with respect to the SOFTWARE and the accompanying materials.

6. CUSTOMER REMEDY:

GATIF's entire liability and your only exclusive remedy shall be return on the price paid for the SOFTWARE Support and Services, and that is returned to GATIF™ with a copy of your proof of purchase of support and services.

7. NO LIABILITY FOR CONSEQUENTIAL DAMAGES:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GATIF OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, LOSS OF BUSINESS PROFITS, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THIS GATIF PRODUCT, EVEN IF GATIF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. GOVERNING LAW:

This Agreement shall be governed solely by and in accordance with the laws of the Province of Ontario, Canada. Exclusive jurisdiction and venue for any and all disputes hereunder or interpretations hereof shall be in the courts located in Toronto, Ontario, Canada.

9. SEVERABILITY:

If any provision or provisions of this Agreement shall be held to be invalid, illegal, or unenforceable for any reason, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired. 

10. ENTIRE AGREEMENT:

This Agreement constitutes the entire agreement and understanding between the parties with regard to the subject matter hereof, and merges and supersedes any and all prior negotiations and agreements with respect hereto, whether oral or written. 

11. MODIFICATIONS:

This Agreement may not be amended, modified or superseded unless expressly agreed to in writing by each of the parties hereto. GATIF is the registered trade mark of GATIF inc.
